NBC successfully held Annual General Meeting of Shareholders in 2011

On 24 April 2010, Nha Be Garment Corporation - Joint Stock Company (NBC) successfully held the Annual General Meeting of Shareholders in 2011. Attending the General Meeting are Board of Directors, Board of Management, Shareholders and Shareholders’ proxies.

Board of Directors, Board of Management and Supervision Board presented the following reports and statements in the General Meeting:

-      Board of Directors reported the performance of annual GSM’s resolution in 2010 and Business Plans for 2011.

-      Chief Executive Officer reported the business results in 2010 and business plans in 2011.

-     Supervision Board reported the business operations in 2010 and audit results for 2010 prepared by Vietnam Auditing Partnership Company.

-      Presentation of the following issues to the GSM for resolution: Profit distribution and appropriation for funds for 2010; Profit and dividend distribution for 2011 and Remuneration – benefits for BOD, Supervision Board.

In 2010, although the world economy encountered with some challenges causing adverse effects to business operations of many enterprises, NBC still maintained its sustainable development with the following positive achievements (exclusive of its subsidiaries): the total turnover and other service is VND1,896 billion; exports is USD302.06 million … all ratios were stabilized at the average growth of 20%/year, domestic turnover particularly increased by 60%…

With respect to development objectives and orientation in 2011, the general meeting adopted the plan and solution proposed by the executive board. Focus on developing the brand name of NBC and Mattana, De Celso, Novelty in local and international markets. Pay more attention to the recruitment, training, development of human resource to secure the best policies possible for employees in an effort to create long-lasting relationship. Keep on promoting, completing organizational and managerial structure, improving operational efficiency.

At the end of general meeting, business targets for 2011 were ratified, particularly exports target shall be USD347.37 million; the total revenue is VND2,180 billion; profit-before-tax is VND60 billion, estimated profit distribution and dividend rate for 2011 is 20%, average salary is VND4.5 million/employee and payment for state budget is VND16 billion.

The General Meeting was successful with the approval of all shareholders on the objectives and orientation of NBC’s comprehensive development strategy in 2011. During the performance, NBC shall inevitably meet various difficulties and challenges; however, the tradition of union and unanimity of all employees and workers together with its inherent potential shall strongly support NBC in its continual development of business activities, expansion of business, commitment of best interests for clients, shareholders, employees and community.
